NATA Volunteer Agreement

NATA Board and Volunteer Service Policy

This policy addresses NATA board and volunteer leadership and service requirements regarding concurrent volunteerism with Strategic Alliance partners and/or external athletic training or sports medicine organizations, associations, or societies (not including district or state athletic training organizations or service on a state regulatory board). This policy addresses volunteer leadership and service positions within these organizations. Nothing precludes maintaining membership in these organizations. This is designed to ensure that the NATA and individual volunteers are protected against any perceived or real conflicts or dualities of interest and requires potential committee, council, and board members to be transparent through a disclosure process regarding conflicts of interest and/or dualities of interest. If conflicts exist, this may delay application for NATA volunteer opportunities until their service on Strategic Alliance partners and/or external athletic training or sports medicine organizations, associations, or societies concludes. Appointment to NATA volunteer opportunities may be contingent on the absence of related conflicts of interest. The NATA encourages District organizations to review their structure and policies as it relates to conflicts of interest and eligibility criteria for elected and appointed positions.

NATA Board of Directors Service

There is no more prestigious position to the association and the athletic training profession than that of serving on the NATA Board of Directors. This policy is designed to identify, mitigate, and prevent conflicts and dualities of competing interests before they occur, ultimately protecting both the volunteer and the NATA. To ensure a rewarding experience, fidelity to the association, and value to the membership, board members should hold no other positions on boards of directors and/or officer, committees, or other volunteer positions with Strategic Alliance partners and/or external athletic training or sports medicine organizations, associations, or societies (not including district or state athletic training organizations or service on a state regulatory board) from the time they begin shadowing for their NATA position until their term ends. Exceptions include serving as a CAATE peer reviewer, BOC exam writer, Foundation scholarship/grant reviewer, or journal article reviewer. The disclosure form and commitment to serve agreement must be submitted prior to the start of the term.

In the event a conflict of interest arises during the member’s term of service, the Board member must immediately notify the President of the conflict, which will be reviewed by the Executive Committee of the Board. Actions, such as immediate resignation of their position as a Board of Director may result, and the District’s succession policy for vacancy would be enacted. Additional exceptions may be considered by the NATA Board of Directors on a case-by-case basis.

Other NATA Volunteer Leadership Service (Committee/Council/Task Force Chairs and Journal leadership)

The role of serving in a leadership role within the NATA is critical to the success of the association and should be considered an esteemed achievement. This policy is designed to identify, mitigate, and prevent conflicts and dualities of competing interests before they occur, ultimately protecting both the volunteer and the NATA. To ensure a rewarding experience, loyalty, dedicated service, and member value, committee/council/task force chairs and journal leadership should hold no other positions on boards of directors and/or officer, committees, or other volunteer positions with Strategic Alliance partners and/or external athletic training or sports medicine organizations, associations, or societies (not including district or state athletic training organizations or service on a state regulatory board) from the time they begin shadowing for their NATA position until their term ends. Exceptions include where the NATA chair position requires participation with regulatory bodies and/or other groups. Exceptions also include serving as a CAATE peer reviewer, BOC exam writer, Foundation scholarship/grant reviewer, or journal article reviewer. The disclosure form and commitment to serve agreement must be submitted as part of the application for this position.

In the event a conflict of interest arises during the Chair’s term of service, the volunteer must immediately disclose the conflict to the Volunteer Engagement Manager for review by the NATA Board of Directors to determine the timing of a succession plan. The Board may determine immediate resignation, resignation at the end of December or resignation/completion of term at the end of June. Additional exceptions may be considered by the NATA Board of Directors on a case-by-case basis.

Other NATA Volunteer Membership Service (Committee/Council/Commission/Task Force Members)

The role of serving as a volunteer within the NATA demonstrates a distinguished level of service to the association. This policy is designed to identify, mitigate, and prevent conflicts and dualities of competing interests before they occur, ultimately protecting both the volunteer and the NATA. To ensure a rewarding experience, loyalty, dedicated service and member value, committee/council/task force members should hold no other positions on boards of directors (and/or officer) or committees, within Strategic Alliance partners from the time they begin shadowing for their NATA position until their term ends. Additionally, committee/council/task force members should hold no other volunteer positions with external athletic training or sports medicine organizations, associations, or societies (not including district or state athletic training organizations or service on a state regulatory board) from the time they begin shadowing for their NATA position until their term ends. The disclosure form and commitment to serve agreement must be submitted as part of the application for this position.

In the event a conflict of interest arises during the Member’s term of service, the volunteer must immediately disclose the conflict to the Volunteer Engagement Manager for review by the NATA Board of Directors to determine the timing of a succession plan. The Board may determine immediate resignation, resignation at the end of December or resignation/completion of term at the end of June. Additional exceptions may be considered by the NATA Board of Directors on a case-by-case basis.

NATA Senior Staff

The role of a leadership role within the NATA is critical to the success of the association and should be considered an esteemed achievement. Senior staff should hold no other positions on boards of directors and/or officer, committees, or other volunteer positions with Strategic Alliance partners and/or external athletic training or sports medicine organizations, associations, or societies (not including district or state athletic training organizations or service on a state regulatory board) during their duration of employment. Exceptions include participation with regulatory bodies and/or other groups. Exceptions also include serving as a CAATE peer reviewer, BOC exam writer, Foundation scholarship/grant reviewer, or journal article reviewer. The disclosure form must be submitted on an annual basis.

In the event a conflict of interest arises, the staff member must immediately disclose the conflict to the Executive Director. Additional exceptions may be considered on a case-by-case basis.

Assignment of Rights/Intellectual Property

You agree that all material and/or information in any manner created, conceived or modified in whole or in part by you relating to your Group service (the “Work”) shall be a "work made for hire," and that NATA, as the organization for which the Work is prepared, shall own all right, title and interest in and to the Work, including the entire and exclusive copyrights and patents in the Work and all rights associated with the copyrights and patents, including but not limited to, reproduction rights, distribution rights, the right to prepare translations and other derivative works, moral rights, and rights to the Works in all formats and media.

You further agree that to the extent a Work does not constitute a "work made for hire," you hereby assign and agree to assign to NATA ownership of all right, title and interest in and to the Work, including but not limited to ownership of the entire copyrights in the Work and all rights subsumed thereunder. With respect to any Work of visual art, you expressly waive any and all rights of attribution and integrity with respect to any and all uses of the Work. You also agree to assign all patent rights in any inventions created in connection with your membership on the Group. You agree to execute all papers, take all actions, and provide assistance as reasonably requested by NATA to perfect its ownership of the entire copyright in each Work and the patent rights in each invention.

Confidentiality

In connection with your Group service, you may be given or have access to confidential information of NATA or third parties (“Confidential Information”). Confidential Information is all information that NATA considers to be confidential or proprietary information of NATA or third party sources. Confidential Information may include, but is not limited to, information regarding the organization, operations, programs, activities, policies, procedures, practices, financial condition, trade secrets, membership lists, and standards of NATA, its members, or third parties. Confidential Information also may include, but is not limited to, unpublished or pre-release versions of NATA standards, examinations, white papers, and other documents and information, or internal-use-only or limited-circulation documents and information. You covenant and agree that you will not disclose or permit to be disclosed any Confidential Information, and that you will not appropriate, photocopy, reproduce, or in any fashion replicate any Confidential Information without the prior written consent of NATA. You agree that any disclosure of Confidential Information in violation of this agreement shall cause immediate and substantial damage to NATA and to any parties that provided the Confidential Information to NATA. You agree to use reasonable efforts to maintain the confidentiality of the Confidential Information. You also agree not to use any Confidential Information for your own benefit or that of your Employer unless authorized in advance in writing by NATA. Confidential Information shall not include information that you rightfully obtain from a third party without comparable restrictions on disclosure or use.

Conflict of Interest

The Group must act at all times in the best interests of NATA and not for personal or third-party gain or financial enrichment. When encountering potential conflicts of interest, Committee members shall identify the potential conflict and, as required, remove themselves from all discussion and voting on the matter.

To help avoid any conflicts of interest, on this form you are disclosing ownership or other proprietary interests, responsibilities, circumstances, or other reasons why you (or, by extension, any member of your family) might have an actual, apparent or potential conflict of interest with your duty to NATA, both respect to the conflicts prohibited above and any others. You hereby invite further review by NATA of any aspects of these circumstances that might be considered appropriate. In addition, you agree to take other steps, such as avoiding deliberation and resolution of certain issues or even withdrawing from your membership on the Group, if it is determined that such steps are necessary to protect the integrity of the Group and avoid the breach of your fiduciary duty to NATA. Finally, during such time as you continue to serve on the Group, you agree to notify the NATA Executive Director promptly if and when you determine that any additional actual, apparent or potential conflicts of interest with your duty to NATA arise subsequent to the execution of this form.
